Partner and Reseller Agreement

Last updated

For agencies, platforms and consultants who offer Zevron’s chargeback service to their clients, under their own brand or ours.

1.Who this is between

This agreement is between Zevron (“Zevron”) and the business that opens a partner account (“you” or the “partner”). It covers reselling or referring Zevron’s chargeback service to your clients, under your brand or ours. You accept it when you create a partner account or use live partner features.

Your clients (“merchants”) use the service under our Terms of Service and Data Processing Addendum. This agreement adds to them; it doesn’t replace them.

2.What you can do

  • Offer the service to your clients under your own name, logo, colour and domain (the “white label”), with or without “Powered by Zevron”.
  • Set the success fee your clients pay, within the range agreed in your partner portal, and earn the difference between it and our wholesale rate, or a revenue share.
  • Sign clients up from your link or address, see their disputes and results in your portal, and get statements of what you earned.

3.What you agree to

  • Describe it honestly. Don’t promise clients a win rate, a recovered amount, a lifted reserve, a lower dispute ratio or an outcome from a bank or card network. Nobody controls those. You may share real, current figures from your portal.
  • Pass on our terms. Make sure each client accepts our Terms of Service and DPA (signup through your link or address does this) and doesn’t sign up for someone else’s store without their authority.
  • Be their first contact. Under a white label, clients will write to your support address. Answer what you can and forward the rest to us; we answer you within one business day.
  • Keep access safe. Protect your portal sign-in and API keys, and tell us at once at security@zevron.ai if you think one has leaked.
  • Follow the law. Including marketing, privacy and anti-spam rules where you sell, and card network and processor rules your clients are bound by.
  • No impersonation. Your brand must be yours. Don’t use a name, logo or domain that copies a bank, card network, processor or another business.

4.What we agree to

  • Run the service for your clients as described in our Terms: build, check and file dispute responses before the deadline, and report results.
  • Show your brand, not ours, everywhere your clients see the service, except where a processor or the law requires our name (for example, on a processor’s own connection screen).
  • Never market our own direct service to a client you signed up while they’re yours, and never use what we learn about your clients to sell to them.
  • Give you notice of at least 30 days before changing your wholesale rate or revenue share.

5.Fees, statements and payouts

  • Who bills clients is set per partner: either we invoice your clients and pay you your share, or you put the fee on your own invoice and pay us the net. Clients billed through Shopify stay on Shopify’s billing, as Shopify requires.
  • Statements. On the 1st of each month you get a statement for the month before, one line per client. A sent statement never changes; a late win or a reversal goes on the next one.
  • Payouts. When we owe you, we pay through Stripe to the payout account you connect in the portal, or by bank transfer until you do. Stripe’s own terms apply to that account.
  • Reversals. If a won dispute is reversed and the client is refunded our fee, your share of it comes off your next statement.
  • When you owe us, invoices are due in 14 days. Unpaid amounts over 30 days late may be set off against payouts, and we may pause new client signups until they’re paid.
  • Taxes. Each side handles its own. You’re responsible for any tax on what you charge your clients.

6.Data

The merchant is the controller of its customers’ data and Zevron is its processor, as in the DPA. In your portal you see what you need to manage your clients: their names, connection status, disputes, outcomes and fees. You may use it only to serve those clients and must keep it confidential.

You don’t get access to a client’s processor credentials or its customers’ personal data beyond what the portal shows.

7.Brand and domains

  • You keep your brand; we keep ours. Each side may use the other’s name only as this agreement allows.
  • For a custom domain you add a DNS record pointing it at us, and we issue and renew its certificate. You keep control of the domain and can disconnect it at any time.
  • A subdomain on our shared address is yours while the account is open and released 90 days after it closes.

8.Ending the agreement

  • Either side may end it with 30 days’ written notice, or at once if the other materially breaches it and doesn’t fix that within 14 days of being told.
  • Your clients aren’t left stranded. When it ends, each client keeps the service. Open disputes are finished. We tell clients plainly what changes (their brand and who to contact) and they can stay with us directly at our standard price or leave.
  • You earn your share on wins from disputes that opened before the end date, paid on the usual statements.

9.Liability

Each side’s total liability under this agreement is limited to the amounts paid or owed between us in the 12 months before the claim. Neither side is liable for lost profits or indirect damages. These limits don’t apply to unpaid amounts owed, to a breach of the data or confidentiality sections, or to fraud.

You’ll cover us against claims arising from promises you made to clients that this agreement or our Terms don’t support.

10.Everything else

You’re an independent business, not our agent or employee. We may update this agreement with 30 days’ notice by email; continuing after that means you accept the change. The governing law and courts are those named in our Terms of Service.
